1. Acceptance of Terms

By accessing or using the Tipexs platform ("Service"), operated by Tipexs Technologies ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Tipexs provides an AI-powered tender discovery, analysis, and bid management platform. The Service aggregates procurement data from public sources, applies machine-learning matching algorithms, and provides tools for managing bid documents and workflows.

3. Accounts and Access

You must provide accurate and complete registration information.
You are responsible for maintaining the confidentiality of your credentials.
Each account is assigned to a single organization ("Tenant"). Multi-tenant access requires explicit authorization.
We reserve the right to suspend accounts that violate these terms or exhibit abusive behavior.

4. Permitted Use

You may use the Service only for lawful business purposes related to procurement and tendering. You may not:

Reverse-engineer, scrape, or systematically download data from the platform.
Use the Service to submit fraudulent bids or misrepresent your organization.
Attempt to access other tenants' data or bypass security controls.
Resell or redistribute data obtained through the Service without prior written consent.

5. Intellectual Property

All platform software, algorithms, models, UI designs, and documentation are the exclusive property of Tipexs Technologies. Tender data sourced from public procurement portals remains subject to the original source's terms. Your company profile data and bid documents remain yours.

6. AI-Generated Content

Match scores, recommendations, and AI-generated analyses are provided as decision-support tools only. They do not constitute legal, financial, or professional advice. You are solely responsible for verifying the accuracy of any AI output before relying on it for bid decisions.

7. Subscription and Payment

Access is provided under the plan selected during registration.
Token-based usage is metered and subject to your plan's monthly budget.
Overdue payments may result in restricted access or account suspension.
Refunds are handled on a case-by-case basis within 30 days of payment.

8. Limitation of Liability

To the maximum extent permitted by law, Tipexs Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service, including but not limited to lost profits, missed procurement opportunities, or data loss.

9. Termination

Either party may terminate the relationship at any time. Upon termination, you may export your data within 30 days. After that period, your data will be permanently deleted in accordance with our data retention policy.

10. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel. Any disputes shall be resolved exclusively in the courts of Tel Aviv, Israel.
